These Terms and Conditions ("Terms") govern your access to and use of the website operated by Privé Aero ("Privé Aero", "we", "us" or "our") and, where applicable, the sale of aircraft parts and the provision of leasing coordination, repair management, advisory and related aviation services. By using this website or placing an order with us, you agree to these Terms. If you do not agree, please do not use the website or submit a request.

1. Definitions

In these Terms, the following words have the meanings set out below:

  • "Buyer", "you" or "your" means the person or entity that requests a quotation, places an Order or otherwise contracts with us.
  • "Component", "Part" or "Goods" means any aircraft part, component, material, engine, module, tooling or equipment supplied by us.
  • "Order" means a purchase order or written instruction submitted by the Buyer and accepted by us in writing.
  • "Serviceable" means a Component that meets the applicable OEM or type-certificate holder specifications, is released with valid airworthiness documentation and has no known defect.
  • "Overhauled" means a Component restored and tested to the standards of the applicable overhaul manual and released accordingly.
  • "Factory New" or "New" means a Component that is newly manufactured, unused and released by the manufacturer or an approved organisation.
  • "Beyond Economical Repair (BER)" means a Component whose estimated repair cost exceeds a commercially reasonable proportion (typically seventy-five percent, 75%) of its fair market value.
  • "Incoterms" means the Incoterms® 2020 rules published by the International Chamber of Commerce.

3. Use of the Website

The content on this website is provided for general information about our services. You agree to use the website only for lawful purposes and not in any way that could damage, disable or impair it, or interfere with any other party's use of it. We may suspend, withdraw or restrict the availability of all or part of the website for operational or maintenance reasons at any time and without notice.

4. Information and Accuracy

We take reasonable care to keep the information on this website current and correct. However, part availability, condition, pricing, lead times and specifications are indicative and subject to change without notice. Nothing on the website constitutes a binding offer. Descriptions, images and reference numbers are provided for identification only and do not vary the certification or documentation supplied with a given item.

5. Quotations and Orders

A quotation issued by Privé Aero is an invitation to proceed and remains valid for the period stated in it, or for fourteen (14) days where no period is stated. A binding contract is formed only when we accept your purchase order in writing or issue a written order confirmation. Where these Terms and any written offer conflict, the terms of the written offer prevail for that transaction.

  • All quotations and all parts are subject to prior sale. Any reasonable offer will be taken into consideration.
  • The minimum purchase order value is USD 500.00.
  • Minimum order quantities may apply and are subject to OEM requirements.
  • Pricing and deliveries are subject to change by the manufacturer or supplier.
  • Orders are subject to a fifteen percent (15%) cancellation fee and a twenty-five percent (25%) restocking fee.
  • Any cancellation or return must be requested in writing and authorised by Privé Aero.
  • These Terms prevail over any terms or conditions contained in or referred to by the Buyer's purchase order or other document, unless expressly agreed by us in writing. Our acceptance of an Order is not acceptance of the Buyer's terms.

6. Prices and Payment

  • Prices are quoted in the currency stated in the offer and, unless expressly included, exclude taxes, duties, freight, insurance and handling.
  • A wire transfer fee of USD 40.00 is added to every order.
  • Payment terms are as set out in the applicable offer or invoice. Unless agreed otherwise, payment is due before dispatch or within the credit terms granted in writing.
  • Invoices are deemed accepted unless the Buyer notifies us of a bona fide dispute in writing within seven (7) days of the invoice date.
  • We reserve the right to charge interest on overdue amounts at the maximum rate permitted by applicable law, and to suspend deliveries while any amount remains outstanding.
  • Where we carry out repair or maintenance management on the Buyer's behalf, we shall have a lien over the relevant Components until all sums due are paid in full and may, after sixty (60) days of non-payment and reasonable written notice, arrange their sale to recover the outstanding amount, accounting to the Buyer for any surplus.

7. Delivery, Title and Risk

Delivery terms are agreed per order and interpreted in accordance with the Incoterms rule stated in the offer. Any delivery or turnaround date is an estimate given in good faith and is not binding unless confirmed in writing as a firm date. Risk passes to the buyer in accordance with the agreed Incoterms rule. Title to goods passes only upon receipt of payment in full.

8. Inspection and Acceptance

The Buyer must inspect all Components promptly on receipt. Any shortage, damage in transit, or discrepancy in condition, quantity, part number or documentation must be notified to us in writing within ten (10) days of receipt, together with supporting evidence. If no such notice is received within that period, the Components are deemed to have been accepted as conforming to the Order. This clause is without prejudice to any applicable warranty under clause 10 or to defects that were not reasonably discoverable on inspection.

9. Certification and Documentation

Where applicable, parts are supplied with the certification and traceability documentation described in the offer, which may include EASA Form 1, FAA 8130-3 or equivalent release documentation and back to birth traceability where stated. The buyer is responsible for verifying that the part number, condition, applicability and documentation meet the requirements of its own maintenance programme and airworthiness authority before installation.

10. Warranty

Warranty, where offered, is stated in the applicable offer or order confirmation and varies by product condition. Unless stated otherwise, our sole obligation under warranty is, at our option, to repair, replace, refund or assign any applicable third party or manufacturer warranty in respect of the item concerned. Warranty claims must be notified to us in writing, with supporting evidence, within the period stated in the offer. Warranty does not cover damage caused by misuse, improper installation, foreign object damage, normal wear or handling contrary to manufacturer instructions.

11. Disclaimer

To the fullest extent permitted by law, the website and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the website will be uninterrupted, secure or free of errors or harmful components. This clause does not affect any warranty expressly given in a written offer for goods or services purchased from us.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Privé Aero shall not be liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, aircraft utilisation, goodwill or data, arising out of or in connection with the website, our services or any goods supplied. Our total aggregate liability in connection with any order shall not exceed the amount paid by the buyer for the goods or services giving rise to the claim. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded by law.

13. Indemnity

The Buyer shall indemnify and hold harmless Privé Aero, its affiliates, officers and employees against all claims, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) the Buyer's installation, use, resale, lease or handling of any Component; (b) any breach by the Buyer of these Terms or of applicable law, including export control and sanctions law; or (c) any negligent or wrongful act or omission of the Buyer. This indemnity does not apply to the extent that a claim results directly from our wilful misconduct or from a liability that cannot be excluded by law.

14. Insurance

Where Components are provided on an exchange, loan or pool basis, or otherwise remain in the Buyer's possession or under its control before title or risk transfers, the Buyer shall, at its own cost, maintain adequate insurance (including all-risks property cover and, where relevant, aviation liability cover) with reputable insurers, naming Privé Aero as additional insured or loss payee where appropriate and including a waiver of subrogation in our favour. The Buyer shall provide evidence of such cover on request. The existence of insurance does not relieve the Buyer of any obligation under these Terms.

15. Export Control and Compliance

The supply of aircraft parts and related technical data is subject to the export control and sanctions laws of Turkey, the European Union, the United Kingdom and the United States. Disposal, re-export or diversion of goods contrary to these regulations is prohibited. The buyer agrees to comply with all applicable export control, re-export, sanctions and anti-corruption laws, to provide any end use or end user information (including an End User Statement where required) reasonably required for us to meet our compliance obligations, and not to use or resell goods in breach of those laws. The buyer shall not register, operate, lease or route Components in or through any country or party subject to comprehensive sanctions or embargo. We may decline or cancel any order that would breach applicable law.

16. Intellectual Property

All trademarks, logos, text, graphics and other content on this website are owned by or licensed to Privé Aero and are protected by applicable intellectual property laws. You may view and print content for your own internal, non-commercial reference only. Any other reproduction, distribution or modification without our prior written consent is prohibited.

17. Third Party Links

The website may contain links to third party websites provided for convenience only. We do not control and are not responsible for the content, accuracy or practices of those websites, and a link does not imply endorsement.

18. Force Majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, conflict, strikes, transport disruption, supplier default, sanctions, or failures of communications or infrastructure.

19. Assignment, Subcontracting and Third Party Rights

The Buyer may not assign, transfer or subcontract any of its rights or obligations under these Terms without our prior written consent. We may assign, transfer, subcontract or delegate any of our rights or obligations, in whole or in part, provided this does not adversely affect the Buyer's rights under these Terms. These Terms do not create any right enforceable by any person who is not a party to them.

20. Changes to These Terms

We may update these Terms from time to time. The version published on this page at the time you use the website or place an order applies to that use or order. We encourage you to review this page periodically.

21. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them are governed by the laws of the Republic of Turkey. The courts and enforcement offices of Istanbul (Çağlayan) shall have exclusive jurisdiction, without prejudice to any mandatory consumer protection rights available to you under applicable law.
